Director Resignation – Filing
A director may resign from the office by giving a notice in writing to the company and the Board. Also, the Board has to place the fact of the said resignation by the director in the Directors report in the immediately following general meeting of the company.
Reasons for Director Resignation
The common reasons for resignation by directors are as below.
1. In search of better career opportunities
2. On account of management disputes
3. Change in ownership of the company

5. Resignation on account of personal reasons.
The Director of a company can resign from his office by giving a notice in writing along with the reasons. The Board of Directors shall take note of the same om receipt of the same. The company shall file FORM DIR-12 intimating the Director resignation with RoC with in 30 days of receipt of notice. The Board shall also place the facts of such resignation in the Directors Report presented in the immediately following Annual General Meeting. The Director may also file Form DIR-11 with RoC within 30 days along with a copy of Resignation letter with reasons. The resignation shall be effective from the date on which the notice is received by the company or the date specified by the director in the resignation letter , whichever is later.

2. To take note of the same and pass resolution and authorize any of the Directors to file DIR-12 with RoC.
3. File DIR-12 along with attachment of Resignation notice, proof of dispatch and acknowledgment and a copy of board resolution.
4. Place the fact of such resignation in the Directors Report in the following Annual General Meeting.
5. Make changes to Register of Directors and Key Managerial Personnel.

It is at the option of resigning director to file DIR-11 where the company has already filed DIR-12 within the prescriber period of 30 days from the date of resignation. In case the company has failed to file the form DIR-12, the resigning Director can file DIR-11 intimating the RoC about his resignation along with reasons for such resignation.
